Candidates were active or recently retired C-level executives from the company’s industry, with proven track records in successful scalable growth to maturity via such pathways as M&A, IPO, or eventual sale.

Holding company for a very successful family-owned business now in its third generation.
The company, headquartered in San Antonio, has had a board for many years. The six-person board (which also serves as the investment committee for the embedded family office) includes individuals representing three arms of the family, as well as three independent directors. Two of the long-time independent directors were retiring, and the company took the opportunity to strengthen the board and to bring additional sophistication and relevant experience to help with the company’s strategic growth plans. Candidate requirements included strong business acumen and financial experience, as well as investment prowess.
National professional services firm that has experienced exponential growth in its 25 years of operation, through both M&A and targeting new, diversified end-markets.
The company, which is headquartered in the Washington, DC area and ranks in the top 150 firms nationally in its industry, decided to file for an IPO to fund further growth. To prepare for going public, the company needed to retool its board with four new independent directors. Candidates were active or recently retired C-level executives with scalable growth experience in the company’s industry or in end-market industries. The company targeted individuals who had public board experience and who would meet the Sarbanes-Oxley definition of audit committee financial expert.
Publicly traded company in a highly regulated industry.
With the imminent retirement of its last remaining founding director, the Houston-based company with operations throughout the US sought an independent director who could add expertise in a key element of the company’s business, and who could direct the company as it pursued its growth strategy. Candidates were actively or recently retired C-level executives from service businesses who possessed deep operational understand of logistics and/or reverse logistics, and who had public board experience.

The family’s governance is based on a sophisticated fiduciary structure. Appropriate succession planning dictated the addition of two or more individuals to serve as paid fiduciaries or advisors.
